Service & Terms
1. INTRODUCTION
- These Service Terms apply when you engage VY Orbit for a project or professional service.
- Project-specific requirements may also be documented in a quotation, proposal, invoice, email, WhatsApp communication, project brief, or separate written agreement.
- Where a project-specific written agreement differs from these general Service Terms, the project-specific agreement applies to that matter.
2. SERVICE SCOPE
Before work begins, the project scope should be established as clearly as reasonably possible.
The scope may include:
- Deliverables.
- Features or functionality.
- Design requirements.
- Technical requirements.
- Included revisions.
- Estimated timeline.
- Project price.
- Payment schedule.
- Required client materials or access.
Only work included in the agreed scope is included in the agreed price unless otherwise stated.
3. SCOPE CHANGES
- Additional features, pages, functionality, revisions beyond scope, major design changes, or new requirements may be treated as additional work.
- Where significant additional work is requested, VY Orbit may provide an updated quotation, additional charges, revised timeline, or separate milestone before proceeding.
4. PROJECT TIMELINES
- Timelines are generally estimates unless expressly guaranteed in writing.
- Delivery may depend on timely client information, approvals, access, feedback, technical complexity, third-party services, and changes to scope.
- Client delays may extend the project timeline.
5. CLIENT CONTENT AND MATERIALS
- Clients are responsible for the legality, accuracy, ownership, and authorized use of all materials supplied for a project, including text, images, logos, videos, product information, trademarks, and documents.
- VY Orbit is not responsible for claims arising from unlawful, inaccurate, infringing, or unauthorized client-provided materials.
6. ACCESS AND CREDENTIALS
- Some projects may require access to hosting, websites, domains, APIs, dashboards, databases, social platforms, or other systems.
- Clients should provide only the access reasonably required and use appropriate access controls where possible.
7. REVISIONS AND FEEDBACK
- Included revisions apply only to the agreed scope and deliverables.
- Clients should provide clear and consolidated feedback where reasonably possible. Repeated major changes, contradictory instructions, redesigns, or new functionality may be treated as additional work.
- A project may be considered approved when the client confirms approval, requests final delivery, or approves deployment or active use.
8. PAYMENTS
- Payment terms will be communicated before or during project confirmation.
- Depending on the project, payments may include an advance, milestones, final payment, or recurring service fees.
- Work may be paused or delayed if agreed payments become overdue.
9. THIRD-PARTY COSTS
- Third-party products or services may be required, including domains, hosting, premium plugins, themes, subscriptions, APIs, cloud infrastructure, licenses, or payment services.
- Unless specifically included in writing, these costs are separate from VY Orbit’s service fees.
10. TESTING AND REVIEW
- Where appropriate, clients may be given an opportunity to review deliverables before final handover or launch.
- Clients should report material issues related to the agreed scope within a reasonable time. After final approval, launch, or handover, additional changes may be treated as new work unless covered by a separate support arrangement.
11. TECHNICAL LIMITATIONS
- Technology may be affected by browser differences, operating system updates, API changes, plugin conflicts, hosting limitations, platform policy changes, or future software changes.
- We cannot guarantee permanent compatibility with every future device, browser, operating system, platform, or third-party service.
12. POST-DELIVERY SUPPORT
- Included post-delivery support applies only to the agreed scope and duration.
- Support may not include new features, major redesigns, new integrations, client-caused issues, unauthorized modifications, third-party changes, expired licenses, or infrastructure outside the agreed service.
13. CLIENT MODIFICATIONS
- VY Orbit is not responsible for issues caused by modifications made by the client or another party after handover, including code changes, configuration changes, deletions, or plugin installations.
- Restoration or troubleshooting may be treated as a separate service.
14. PROJECT PAUSE OR INACTIVITY
- If required information, access, approvals, feedback, or communication is not provided for an extended period, a project may be placed on hold or closed after reasonable communication.
- Restarting may require updated availability, timeline, scope review, or pricing.
15. CANCELLATION
- Either party should communicate cancellation clearly.
- If cancellation occurs after work begins, payment obligations may apply for completed work, reserved time, approved expenses, and third-party costs.
- Refund eligibility is governed by the Refund & Cancellation Policy and applicable project term
16. PORTFOLIO
- Unless otherwise agreed in writing, VY Orbit may display completed or publicly launched work in its portfolio or promotional materials.
- Confidential information will not intentionally be disclosed. Clients requiring confidentiality should communicate that requirement before or during the project.
17. LIMITATION OF LIABILITY
- To the maximum extent permitted by law, VY Orbit is not responsible for indirect or consequential losses such as loss of revenue, profits, data, business opportunities, or reputation where such exclusions are legally permitted.
